GENERAL TERMS AND CONDITIONS (GTC) OF STAREX GROUP LTD
(Hereinafter referred to as "STAREX" or "the Company")
1. Scope of Application
- These General Terms and Conditions govern the provision of maritime recruitment and crewing services by Starex Group Ltd, registered in the United Kingdom, including its subsidiaries and associated entities (collectively referred to as "the Company"), to clients engaging the Company for recruitment services ("the Client").
- Specific engagements for recruitment services ("the Order") shall be governed by these GTC, unless expressly excluded or amended in writing within the individual Order. Orders may be confirmed via email and are binding upon the Company’s written acknowledgment or commencement of services.
- The Company may engage subcontractors or affiliated consultants in the performance of the Order. In such cases, these GTC shall apply mutatis mutandis to the relationship between the Client and any subcontractor, unless otherwise agreed.
- Each recruitment campaign or candidate profile shall be detailed within an individual Project Brief, attached to the corresponding Order.
- The Company shall exercise all due skill, care and diligence customary in the maritime recruitment sector and shall ensure its personnel possess the requisite qualifications and maritime sector knowledge.
2. Definitions
- Order – A formal request for recruitment services detailing the candidate profile, Client requirements, and agreed fee structure.
- Recommendation – The presentation by the Company of a candidate whose profile matches the specifications in the Order.
- Employment – The engagement of a candidate in any capacity, including employment, self‑employment, consultancy, agency, appointment, or contract work.
- Candidate – An individual presented by the Company who meets the criteria outlined in the Order.
- Project Brief – A document or meeting setting out the key attributes and requirements of the Candidate sought, prepared jointly by the Client and Company.
- Evaluation Meeting – A post‑campaign meeting to assess the outcome of the recruitment effort and discuss process improvements.
3. Performance of Recruitment Services
- The recruitment process includes identifying, screening, and recommending maritime professionals based on the Order’s criteria.
- The Company warrants that it holds lawful authority to share candidate data with the Client in accordance with applicable data protection laws.
- Under each Order, the Company shall:
- Launch the recruitment campaign;
- Screen applicants and evaluate suitability;
- Deliver summaries of shortlisted candidates;
- Provide regular progress updates in line with the agreed timeline.
4. Client Cooperation and Obligations
- The Client shall provide timely access to information, documentation, and feedback essential for the effective performance of the recruitment campaign. Delays caused by the Client shall not prejudice the Company.
- STAREX may reference the Client’s name, logo, and vacancy details for promotional or case study purposes, subject to the Client’s consent.
- Orders are deemed accepted upon written confirmation or by the Client’s initiation of services. Orders must include job specifications and candidate requirements.
- Amendments by the Client after the Project Brief or during recruitment require formal notification. In such cases, the Company may charge for work performed up to the date of amendment.
- Candidate exclusivity remains in effect for 28 calendar days from the date of recommendation.
- The Client shall notify the Company within 2 business days of any prior contact or duplication of candidate data found in its database, provided such data was stored no more than 3 months prior.
- Silence from the Client for 2 business days after receiving a candidate’s profile constitutes acceptance.
- Feedback must be provided within 3 business days of receiving a candidate recommendation.
- The Client may reject a candidate, but must specify the reasons.
- Interviews shall be scheduled within 5 business days of candidate approval.
- The Client must inform the Company of interview outcomes or offer decisions within 5 business days.
- Confirmation of an accepted offer must be shared with the Company within 2 business days.
- The Company shall conduct a follow‑up evaluation meeting within 5 business days of candidate acceptance.
- The Client must confirm the candidate's start date within 2 business days of commencement.

- An Order is considered fulfilled when the Company presents at least three candidates (or as otherwise agreed) meeting the Order criteria.
- Recommendations remain valid for 12 months from the date of submission. If a recommended candidate is engaged during that time, the Company is entitled to full agreed remuneration. Failure to notify the Company of such employment may incur a 20% surcharge over the agreed fee.
- Clients must comply with all cooperation requirements; failure may result in operational charges equivalent to 20% of the Order value.
5. Remuneration and Payment Terms
- Fees are as per the Order and may comprise a project initiation fee and/or a success fee upon candidate placement.
- All fees are exclusive of VAT for non‑UK orders.
- Payment is due within 14 days from invoice date.
- Invoices shall be issued electronically to the email address specified in the Order.
- Continued non‑payment after 14 days of a reminder entitles the Company to suspend services.

- Any changes to the candidate profile after an Order has commenced may warrant a revision to the fee. Such changes require written confirmation and must be agreed by an authorised signatory.
6. Term and Termination
- Orders are open‑ended unless otherwise specified.
- Orders may be terminated with three months' written notice by either party, effective at month‑end. All services delivered up to termination shall be paid in full.
7. Data Protection
- Both parties are independent controllers of the personal data exchanged.
- Personal data shall be processed in accordance with the UK GDPR and applicable laws.
- Each party shall inform affected individuals of the processing, storage, and sharing of their data, in line with transparency obligations.
- In candidate‑related matters, each party shall be responsible for compliance with the data subject notification requirements.
8. Non‑Solicitation
- During the engagement and for a period of 12 months thereafter, the Client shall not directly or indirectly employ or engage the Company’s employees or contractors.
- Breach of this clause shall incur a contractual penalty of £10,000 per incident, without prejudice to further legal remedies.
9. Miscellaneous
- Should any provision of these GTC be deemed invalid, the remaining provisions shall remain enforceable.
- These GTC form an integral part of all Orders.
- In case of inconsistency between the Order and the GTC, the Order shall prevail.
- The Company reserves the right to amend these GTC by publishing a revised version on its website. Amendments shall take effect eight days after publication unless otherwise stated.
- These GTC shall be governed by and construed in accordance with the laws of England and Wales.
- Any disputes arising from or related to the Order or these GTC shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
- These GTC are binding upon delivery to the Client or by providing access via hyperlink or company website.
